Foundation law experts will share their expertise on legal basics in
dissecting statutes, rules and regulations for grantmakers. The program will
spotlight issues such as fiscal agents, self-dealing, conflict, current
environment, liabilities, lobbying and legislation. Legal experts will
facilitate breakout sessions on focus topics including donor-advised funds, and
our panel will discuss what is new in the legal arena, including H.R. 4.
Additional topics include:
- Can a foundation be reimbursed for fundraiser tickets?
- Can a family foundation pay for a family member's travel?
- Should foundations use fiscal agents?
- When can directors and officers be held liable?
- How are ethical and legal conflicts avoided?
- What do foundations need to know about IRS audits?
- How do the Treasury Department's antiterrorism guidelines affect
foundations?
Information and resources will be pertinent to all types of grantmakers. This
program is tailored for newer foundation staff and those who want a review of
the basics of foundation legal requirements.

About the facilitators:
J. Hazen Graves is a partner with Faegre & Benson, concentrating on matters
relating to charities and charitable giving. He has advised nonprofit
organizations of all kinds regarding nonprofit corporation and charitable trust
laws, income and real estate tax exemption, unrelated business income tax,
private foundation rules, director liability, charitable contributions,
administration of planned giving programs and general nonprofit business
matters. Graves is a frequent speaker at programs for charitable organizations.
He is an adjunct member of the Exempt Organizations Committee of the Tax Section
of the American Bar Association and a member of the Minnesota Council on Planned
Giving. He participated in the drafting of Minnesota's nonprofit volunteer
"immunity" statute and the Minnesota Nonprofit Corporation Act.
Gina M. Kastel is an attorney in the Health Care and Nonprofit
Organizations group at Faegre & Benson. She counsels foundations, charities and
other tax-exempt organizations on issues including tax exemption, tax
compliance, grantmaking, corporate governance, lobbying and investigations.
Claire H. Topp is a partner in Dorsey & Whitney's Health Group and chair
of Dorsey's Non-Profit and Tax-Exempt Organizations practice group. She counsels
numerous public charities, private foundations and trade associations on issues
relating to formation, governance, fiduciary duties, conflicts of interest,
excise taxes, excess benefit transactions and unrelated business income tax and
related to obtaining IRS rulings and determination issues.

The Effective Grantmaking Series consists of programs on topics
that are fundamental to sound practices and principles for responsible and
effective philanthropy through grantmaking.
Audience:
The sessions are geared toward those new to the field of grantmaking
and/or those who would like a refresher or to update their experience with
the most current information and resources. The programs are open to MCF
members and nonmember grantmakers.
